What is a Joint Venture?

Contractual Joint Ventures are not intended to be separate legal entities, but rather to act as separate economic entities only.  A joint venture is an agreement between the owners (Joint Ventures), and is a legal relationship.

In order for a joint venture to exist the following conditions must exist:

  • financial contribution
  • property
  • effort
  • knowledge or asset to a common undertaking
  • joint property interests subject to the venture
  • mutual control or management
  • expectation of profit, right to participate in profit
  • a contractual basis
